We use the email to manage and talk to your clients, customers, and other interested parties. We may also use Twilio to deliver transactional welcome emails after purchases. We do not sell or share your email addresses or any personal information about you. You may unsubscribe from Twilio at any time. If you need help unsubscribing, please click here and let us know.

Data Use Agreement

This Data Use Agreement ("Agreement") is updated and entered into as of September 15, 2024, or before, by and between Patient10x, a Wyoming corporation registered at 30 N Gould St., Ste 22475, Sheridan, WY 82801 ("Patient10x"), and our clients, defined as paid software subscribers, paid software users, and paid marketing services clients("Client").

WHEREAS, Client desires to utilize Patient10x's services or software products ("Software") including Patient10x Reviews, Patient10x Forms, and Patient10x Analytics; and Patient10x Marketing Services

WHEREAS, Client may provide certain data to Patient10x in connection with its use of the Software or Services;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Parties Involved

This Agreement is between Patient10x and Client.

2. Purpose of Data Use

Client may upload or submit data to Patient10x through the Website or Software. Patient10x will use this data solely to provide and improve the Software's functionality for the Client, including but not limited to:

  • Processing and analyzing data for Patient10x Reviews.
  • Facilitating data collection and management through Patient10x Forms.
  • Generating reports and insights via Patient10x Analytics.
  • For Client Marketing Services as instructed by Client.

Patient10x will not use the data for any other purpose, including but not limited to, selling the data, using the data for its own marketing purposes, or sharing the data with third parties, except as required by law.

3. Data to be Shared

The data shared by Client with Patient10x may include, but is not limited to:

  • Patient, customer, or vendor names
  • Patient, customer, or vendor phone numbers
  • Patient, customer, or vendor email addresses
  • Patient, customer, or vendor mailing addresses
  • Patient, customer, or vendor information needed to deliver services for Patient10x Reviews, Patient10x Forms, Patient10x Analytics, or Patient10x Marketing Services.

Client represents and warrants that it has all necessary rights and authorizations to share the data with Patient10x and that the data does not violate any applicable laws or third-party rights.

4. Terms and Conditions

  • Term: This Agreement shall commence on the Effective Date the data is shared and shall continue for a period of 12 months unless terminated earlier as provided herein.
  • Termination: This Agreement may be terminated by either party upon 30 day written notice to the other party.
  • Renewal: This Agreement shall automatically renew for successive 30 day period unless either party provides written notice of non-renewal at least 30 days prior to the end of the then-current term.
  • Client Responsibilities: Client is responsible for the accuracy, legality,     and completeness of the data provided to Patient10x. Client shall comply     with all applicable laws and regulations in its use of the Software and     its provision of data to Patient10x.
  • Patient10x Responsibilities: Patient10x shall use commercially reasonable efforts to protect the confidentiality, integrity, and availability of the data. Patient10x shall comply with all applicable laws and regulations in its processing of the data.

5. Data Security Measures

Patient10x shall implement and maintain appropriate administrative, technical, and physical safeguards to protect the data from unauthorized access, use, disclosure, alteration, or destruction.

6. Dispute Resolution and Costs

6.1  Dispute Resolution: Any dispute arising out of or relating to this Agreement, including the breach, termination, data use, or validity thereof, shall be settled by [Choose one: binding arbitration OR litigation in the state or federal courts located in Contra Costa County, California].  

6.2  Recovery of Costs:

If Patient10x is the prevailing party in any dispute arising out of or relating to this Agreement, Client shall be responsible for all reasonable costs incurred by Patient10x in connection with such dispute, including but not limited to attorney fees, expert witness fees, and court costs.

If Client is the prevailing party in any dispute arising out of or relating to this Agreement, Patient10x shall be responsible for its own attorney fees and court costs, but not for Client's attorney fees or costs.

Regardless of which party prevails, each party shall be responsible for its own internal costs associated with the dispute, including but not limited to employee time and expenses.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in California.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

9. Amendments

This Agreement may be amended only by a writing signed by both parties.

10. Waiver

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the waiving party.

11. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.

12. Notices

All notices and other communications hereunder shall be inwriting and shall be deemed to have been duly given when delivered personally, upon the first business day following deposit in the United States mail, post age prepaid, certified or registered, return receipt requested, addressed as follows:
